Position: Short Term Non-Key Legal Expert

Responsibilities: Draft Public Private Partnership Agreements

Usual office base: Freetown, Pujehun, Bombali, Kenema, Kambia, Falaba and Karene

Type of Assignment: Full-time 20 days

Duration: Start/End of Assignment Approx. September to October 2021

Number of working days: Up to 20 working days

The expert will respect any applicable provision of the General Conditions for Service Contracts for EC External Actions.





Academic Qualifications

Qualifications and skills required (Applicable to both IEs)

The expert should have a relevant legal qualification at Masters level including drafting skills; and be a legal practitioner with ten years professional experience.

Technical Qualifications

  • Experience in drafting contracts including public private partnership agreements.
  • Experience working with private sector in business development.
  • Experience working with multi-stakeholder decentralised local governance structures such as District Councils will be an added advantage.
  • Experience and knowledge in Public-Private Partnership regulations and models.
  • In-depth understanding of contracting principles, processes and client approaches will be an advantage.
  • The experience of public-private arrangements in the African context will be an advantage.
  • Strong technical and general writing skills.
  • Ability to think strategically and integrate diverse information from varied sources.
  • 7 years or more of functionally-related professional legal advisory experience.
  • Have a good knowledge of PPP policy and concept as well as the prevailing PPP related laws and regulations in Sierra Leone





Tasks

  • Review and analyse the existing legal framework for the origination and structuring of public private partnerships, including recent legislation.
  • Review relevant rules, regulations, and guidelines applicable to these types of partnerships between the private sector and the local councils.
  • Review and analyse the existing regulatory framework for the origination and structuring of PPP transactions.
  • Review and analyse the existing compliance regime in enforcing such partnerships.
  • Provide legal advice and review of the proposed PPP project structures in view of the prevailing regulations.
  • Identify gaps and challenges in the legislation including originating and enforcement of such partnerships.
  • Hold consultations with the councils including the chairpersons, councillors, and chief administrators and private sector representatives, CSOs, the chamber of commerce and investors to determine their legal needs and requirements in relation to the partnership agreement with the private sector.
  • Provide legal advice/opinion to the councils on some of the considerations for entering into partnership agreements with the private sector.
  • Provide legal advice on Licensing, permitting, land acquisition and other legal risks
  • Draft public private partnership contracts for specific investments in the designated district.
